Job Summary

To assist the Group Company Secretary with all the Company Secretarial functions in ensuring that the company complies with legal, regulatory and corporate governance requirements. The role is administrative and advisory in nature, often acting as a key link between the Board of directors, management and stakeholders.

Job Details

Critical Deliverables /Core Accountabilities and Responsibilities

  1. Assist in managing Board induction, appointments training, capacity building of directors.
  2. Assist in ensuring that the company conforms to the highest standards of corporate governance by developing frameworks and processes.
  3. Assist in developing the annual work plan, calendars of the Board and sub-committees.
  4. Assist in preparing agendas, board packs, taking minutes.
  5. Assist in managing Company Secretarial risks.
  6. Perform any governance duties as may be directed by the Company Secretary Legal Affairs.
  7. Ensure that Board procedures are followed and reviewed regularly. 
  8. Ensure that the applicable rules and regulations for the conduct of the affairs of the Board are complied with. 
  9. Assist with maintaining statutory records in accordance with legal requirements. 
  10. Assist with the provision of assistance and guidance to the Board.
  11. Assist in keeping abreast of, and inform, the Board of current corporate governance thinking and practice. 
  12. Assist in providing legal advise the Board on all legal and Regulatory matters, regulatory fillings and public disclosures.
  13. Assist in ensuring that Board charters and the terms of reference of board committees are kept up to date. 
  14. Assist with the evaluation of the Board, committees and individual directors.

Requirements

Required Qualifications, Knowledge and Skills:

  1. Grade 12, 25 points. 
  2. LLB and or a relevant degree in Accounting & Finance qualification. 
  3. Admission as a legal Practitioner will be an added advantage. 
  4. Minimum 5 years in a company secretarial/ corporate or banking environment of a legal/governance/compliance /risk nature. 
  5. At least 3 years’ experience should be in Board pack preparation and minute taking.
